Welcome to Rizer Inc. (“Company,” “we,” “our,” “us”)! These Terms of Service (“Terms”) govern your use of our website at https://rizer.io and related services (the “Service”). By accessing or using the Service, you agree to be bound by these Terms, our Privacy Policy, our Cookie Policy, and our Data Processing Agreement (DPA) (incorporated by reference). If you do not agree, please discontinue use of the Service and contact support@rizer.io to discuss your concerns.
1. Description of Service
Rizer is a SaaS platform that transforms “lost” CRM leads into renewed opportunities. The Service integrates with your CRM, analyzes lost deals, provides AI-assisted insights, and re-engages prospects with automated nurturing. Where configured, we create follow-up tasks or deals in your CRM for your sales team.
2. Communications
By creating an account or joining our waitlist, you consent to receive newsletters, product updates, and promotional messages. You may opt out at any time via the unsubscribe link or by contacting support@rizer.io.
- U.S. Users: We comply with CAN-SPAM and TCPA rules.
- EU/UK Users: Marketing communications are sent based on consent or legitimate interest; consent may be withdrawn at any time.
- California Users: We honor CCPA rights including opt-out of sale/share of personal information.
3. Account Registration
You must be at least 18 and provide accurate, current information. You are responsible for safeguarding credentials and for activities under your account. Report suspected misuse to support@rizer.io immediately.
4. Data Roles; Privacy; DPA
- Customer Data: When you import CRM data, you are the Controller/Business and Rizer is your Processor/Service Provider.
- DPA: Processing of Customer Data is governed by our DPA (GDPR Art. 28, U.S. state service-provider rules, cross-border safeguards).
- Controller Context: For our website, analytics, and marketing data, Rizer acts as a Controller—see our Privacy Policy.
5. Purchases and Subscription Plans
Subscriptions require valid payment details. Fees are billed in advance, recurring until canceled. Unless required by law, fees are non-refundable. Prices may change with notice. Continued use after changes means acceptance.
6. Free Trials
Free trials may be offered. If not canceled before trial end, your plan converts to a paid subscription.
7. Content Submitted by Users
You remain responsible for any data, text, or materials you provide. By submitting Content, you grant Rizer a limited license to process it solely to provide and improve the Service, as detailed in these Terms and the DPA.
8. Prohibited Uses
You agree not to:
- Violate laws or post unlawful/infringing content.
- Send unsolicited or unlawful communications (must comply with CAN-SPAM, TCPA, GDPR, CCPA).
- Impersonate, interfere, or attempt to disrupt the Service.
- Circumvent security or introduce malware.
- Misuse AI features (e.g., generating unlawful content, trying to bypass safety controls, extracting confidential model data).
- Upload call recordings without required consent. You are responsible for ensuring lawful call-recording practices.
A. Export Controls & Sanctions Compliance
- Compliance. You represent and warrant that you (and anyone you allow to use the Service) will comply with all applicable export control and sanctions laws, including the U.S. Export Administration Regulations (EAR), U.S. economic sanctions administered by OFAC, and any similar laws in other jurisdictions (e.g., EU/UK export controls).
- Denied Parties & Sanctioned Regions. You represent that you are not (a) located in, organized under the laws of, or ordinarily resident in any comprehensively sanctioned or embargoed jurisdiction (collectively, “Sanctioned Regions”), or (b) identified on any restricted party list (e.g., U.S. SDN, Entity List, DPL, UVL, or similar). You will not permit access to, or use of, the Service from Sanctioned Regions or by restricted parties.
- Restricted End Uses. You will not use the Service for prohibited end uses (including nuclear, missile, chemical/biological weapons proliferation, or military end uses/end users where restricted).
- Re-exports & Transfers. You will not export, re-export, transfer, or otherwise make available the Service, access credentials, or technical data in violation of applicable laws. You are responsible for obtaining any required licenses or authorizations.
- Notification & Audit. You will promptly notify Rizer if your status changes with respect to the representations above. Rizer may suspend or terminate access immediately for suspected or actual violations.
- Survival. This section survives termination.
B. Beta / Preview / Early Access Features (“AS IS”)
- Optional Early Access. Rizer may offer Beta/Preview/Early Access features (“Beta Features”). Participation is optional and can be enabled/disabled by you.
- No Commitments. Beta Features are provided AS IS, AS AVAILABLE, without warranties, no SLA, and may be modified, throttled, or discontinued at any time. They are excluded from uptime/availability commitments (if any).
- Use with Care. You are responsible for testing and validating Beta outputs and for not using Beta Features for mission-critical workflows unless you have implemented appropriate safeguards. Avoid submitting special category/sensitive data to Beta Features unless your configuration and risk assessment justify it.
- Data Handling. Unless otherwise stated, the DPA applies to Customer Data processed by Beta Features. Beta Features may use different or additional sub-processors; Rizer will list/notify changes per the DPA (Annex III/change notices).
- Feedback. You grant Rizer a non-exclusive, irrevocable, royalty-free license to use feedback (ideas, suggestions, bug reports) to improve the Service, without obligation to you. Feedback is non-confidential.
- Termination. Rizer may disable Beta Features at any time. You may stop using them at any time.
C. API Access, Rate Limits, and Fair Use
- Credentials. API keys/tokens are confidential and account-specific. You must keep them secure, not share them outside your organization, and immediately rotate/notify Rizer if compromised.
- Rate Limits & Quotas. Rizer may apply rate limits/quotas to ensure platform stability (e.g., [placeholder] X requests/minute, Y requests/day per account, subject to change). Current limits may be shown in docs or your admin console.
- Fair Use & Prohibited Conduct. You will not:
a. Circumvent or attempt to bypass rate limits, quotas, or usage caps;
b. Stress test, crawl, or benchmark the Service in a manner that degrades performance or is primarily for competitive analysis;
c. Submit traffic that is malicious, spam, or otherwise violates §8 (Prohibited Uses);
d. Resell, sub-license, or expose the API for third-party use outside your organization without Rizer’s prior written consent. - Caching & Storage. You may cache non-personal API responses for performance where permitted by law and applicable third-party terms. You are responsible for lawful storage of any personal data returned by the API and for honoring deletion/retention obligations.
- Monitoring. Rizer may monitor API usage for security, abuse detection, billing, and service improvement and may collect telemetry/metadata (e.g., timestamps, endpoint, volume) in compliance with the Privacy Policy.
- Overages & Enforcement. If you exceed limits or violate this section, Rizer may throttle, suspend, or block requests (temporary or permanent) and charge overage fees at the then-current rates after notice. Repeated or severe violations may lead to termination under §20.
- Survival. This section survives termination.
9. AI-Assisted Features & Human Oversight
Our Service includes AI-assisted insights (via providers such as OpenAI, Google Gemini, and Anthropic Claude).
- Outputs may be inaccurate or incomplete and must be reviewed before acting.
- You are responsible for verifying outputs and configuring human-in-the-loop workflows.
10. Third-Party Services and Analytics
The Service interoperates with third-party CRMs, email, telephony, analytics, and AI APIs. These are governed by their own terms and policies.
- We currently use different Ai providers (see Annex III) for AI analytics and recommendations.
- We use Google Analytics (via Google Tag Manager) for website traffic monitoring.
Details are listed in Annex III of the DPA.
11. Intellectual Property
All Service features, except user-provided Content, are the property of Rizer or its licensors. You may not use our trademarks, logos, or code without written consent.
12. Copyright Policy & DMCA Notice
If you believe your work is infringed, send notice to support@rizer.io with the required DMCA elements. Misrepresentations may result in liability.
13. Security; Incident Response; Continuity
We maintain technical and organizational safeguards (encryption, access controls, monitoring, vulnerability management, disaster recovery). Breach notifications for Customer Data follow our DPA.
14. Sub-Processors & Change Notices
We may engage vetted sub-processors (AI and analytics providers included).
- The full list is maintained in Annex III of the DPA.
- We will give at least 30 days’ notice of material changes.
- Customers may object per the DPA; if unresolved, you may terminate affected use.
15. International Transfers
When transferring Customer Data outside the EEA/UK/Switzerland, we use recognized safeguards (e.g., EU Standard Contractual Clauses, UK Addendum, Swiss add-on, or participation in the EU-US Data Privacy Framework).
16. Data Portability and Exit
During subscription and for 30 days after termination, we provide Customer Data export in standard formats (CSV/JSON/API). No unjustified egress fees apply.
17. Feedback
By submitting feedback, you grant Rizer a license to use it to improve the Service without obligation to you.
18. Disclaimer of Warranties
The Service is provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties to the fullest extent permitted by law.
19. Limitation of Liability
To the extent permitted by law, Rizer’s liability is limited to the fees paid in the 12 months preceding the claim.
Exception: This cap does not apply to liability arising from (i) gross negligence or willful misconduct, or (ii) failure to implement reasonable security measures causing a data breach.
20. Termination
We may suspend or terminate accounts for breach or legal/security reasons. Customer Data deletion/return follows these Terms and the DPA.
21. Governing Law and Venue
These Terms are governed by Pennsylvania law (USA). Exclusive venue: courts in Philadelphia, PA.
EU/UK users: This does not limit statutory rights under local data protection laws.
22. Modifications
We may update these Terms, the Privacy Policy, and the DPA by posting with a new effective date. Material changes will be notified (e.g., email or in-product). Continued use means acceptance.
23. Waiver & Severability
Failure to enforce a provision is not a waiver. If a term is unenforceable, the remainder still applies.
24. Acknowledgment
By using Rizer, you confirm you have read and agree to these Terms.
